Termination for Convenience

Termination for convenience is a right to end a contract even when the other party has not committed a breach. It is common in framework agreements, government contracts, long-term service contracts and outsourcing arrangements where business needs may change.

The clause should specify who can terminate, how much notice is required, whether fees or minimum commitments remain payable, and what happens to data, work in progress and transition support. It should be reviewed alongside material breach, renewal dates and notice mechanics.
